These Terms and Conditions (“Terms”) constitute a legally binding agreement between CauseWork.io (“Cause Work”) -- a Focused Agility brand -- and you, the user (“User,” “You”), governing your use of the Cause Work software-as-a-service platform (“Platform”).
By accessing or using the Platform, You agree to be bound by these Terms. If You do not agree, You must discontinue use immediately.
1. License & Permitted Use
1.1 License Grant. Cause Work grants the nonprofit organization identified in the registration process (“Licensee”) a limited, non-exclusive, non-transferable, revocable license to access and use the Platform.
1.2 Authorized Users. Only employees, officers, or expressly authorized agents of the Licensee nonprofit may use the Platform under this license. Volunteers, contractors, or third parties may only access the Platform if formally authorized in writing by the Licensee.
1.3 Nonprofit Use Only. Use is strictly limited to supporting the nonprofit operations of the Licensee. Any commercial use, personal use, or use for entities other than the Licensee nonprofit is prohibited.
1.4 Prohibited Acts. You may not sublicense, resell, assign, or otherwise transfer the license. You may not attempt to reverse engineer, decompile, or gain unauthorized access to the Platform.
2. Eligibility
2.1 The Platform may only be used within the United States.
2.2 Users must be at least 18 years of age and must be employed by or serve as an authorized agent of the Licensee nonprofit.
2.3 Use of the Platform for unlawful purposes is strictly prohibited.
3. Account Security
3.1 The Licensee is responsible for maintaining the confidentiality of its login credentials and API keys.
3.2 The Licensee must immediately notify Cause Work of any unauthorized use or breach of security.
4. Subscription, Fees, and Fair Use
4.1 Subscription Model. Unless otherwise agreed, Licensees receive access through Cause Work’s subscription structure.
4.2 Fair Use Limits. Cause Work includes access to artificial intelligence and other integrated services. To prevent excessive costs and protect system integrity, use is subject to Fair Use restrictions:
Up to [Insert Number, e.g., 5,000] AI calls per month.
No automated high-volume querying.
No attempts to bypass rate limits.
4.3 Excessive Use. Cause Work reserves the right to throttle, suspend, or terminate accounts that exceed reasonable use or create disproportionate costs.
5. Service Availability
5.1 Cause Work strives to provide continuous access but does not guarantee uninterrupted service.
5.2 Planned maintenance or force majeure events may temporarily disrupt access.
6. HIPAA Compliance
6.1 The Platform is only considered HIPAA-compliant if the Licensee has requested and executed a Business Associate Agreement (BAA) with Cause Work.
6.2 Absent a signed BAA, the Platform is not to be used for Protected Health Information (PHI).
7. Privacy and Data Protection
7.1 Data Collection. Cause Work collects limited personal and organizational information necessary for account creation, usage tracking, and service delivery.
7.2 Use of Data. Data is used solely to operate, maintain, and improve the Platform.
7.3 No Sale of Data. Cause Work will never sell, rent, or trade your data to third parties.
7.4 Third-Party Services. Where integrations with third-party applications (e.g., payment processors, AI providers) are enabled, data may flow through such providers subject to their terms. Cause Work is not responsible for third-party data practices.
7.5 Security Measures. Cause Work uses commercially reasonable technical and organizational measures to protect user data. However, no method of transmission or storage is 100% secure.
7.6 Data Retention. Cause Work retains user data only as long as necessary for providing services, complying with law, or enforcing these Terms.
7.7 User Rights. Licensees may request correction or deletion of their data by contacting info@CauseWork.io .
8. Intellectual Property
8.1 The Platform, including its software, trademarks, and all related intellectual property, remains the sole property of Cause Work.
8.2 Users are granted no rights beyond the limited license in Section 1.
9. Prohibited Uses
Users may not:
Use the Platform for unlawful purposes.
Share access outside the Licensee nonprofit.
Exceed Fair Use limits.
Attempt to interfere with or disrupt the Platform.
10. Indemnification
Licensee agrees to indemnify, defend, and hold harmless Cause Work, its officers, employees, and agents from any claims, damages, liabilities, costs, or expenses arising from:
User’s violation of these Terms,
User’s misuse of the Platform, or
Unauthorized access or use by third parties.
11. Disclaimers
The Platform is provided on an “AS IS” and “AS AVAILABLE” basis.
Cause Work expressly disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of Liability
12.1 To the maximum extent permitted by law, Cause Work shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption.
12.2 Some jurisdictions do not allow disclaimers of certain warranties or limitations of liability. However, these Terms are governed by the laws of Virginia, and such disclaimers shall be enforced to the maximum extent permitted under Virginia law.
13. Governing Law and Jurisdiction
13.1 These Terms shall be governed by and construed under the laws of the Commonwealth of Virginia, without regard to conflict of law principles.
13.2 Any disputes shall be brought exclusively in the courts of Roanoke County, Virginia.
14. Assignment
Licensee may not assign these Terms without Cause Work’s prior written consent. Cause Work may assign these Terms without restriction.
15. Entire Agreement
These Terms, including the integrated Privacy Policy, constitute the entire agreement between the parties and supersede all prior agreements.
